Terms of Service
Service terms for bookings, home support delivery, fees, safeguarding, and legal rights.
1. Acceptance and Contract Formation
These Terms of Service govern all services provided by Special Minds, including consultations, educational support, tutoring, behavioural support, parent coaching, and related home or centre sessions.
A service contract is formed when a booking is confirmed by us in writing or when services commence, whichever occurs first.
If you are registering a child, you confirm you are the parent or legal guardian with authority to consent and enter into this agreement.
2. Service Scope and Professional Boundaries
Our services are educational and support-focused and do not replace emergency care, medical diagnosis, psychiatric treatment, or legal advice unless explicitly stated in writing.
Progress outcomes vary by child and cannot be guaranteed. We commit to reasonable professional skill and care in delivering agreed support plans.
Families must provide accurate history, relevant reports, and updates that may affect session safety or suitability.
3. Home Visit Terms
For home sessions, the parent or a legally authorized adult must be reachable and responsible for child supervision before and after sessions.
You must provide a safe, suitable environment for service delivery. We may suspend or refuse sessions where safety risks exist.
Travel coverage, access timing, and any additional location-related charges will be communicated in advance where applicable.
4. Bookings, Rescheduling, and Cancellations
Session schedules are subject to team availability and operational capacity.
Cancellation and rescheduling windows, fees, and no-show terms are governed by your service plan and invoice terms. Where no specific plan applies, reasonable cancellation notice is required.
Repeated late cancellations, non-attendance, or non-cooperation may result in suspension or termination of services.
5. Fees, Invoices, and Payment
Fees, package terms, and payment deadlines are provided before or at onboarding and may be updated with prior notice for future services.
Outstanding invoices may lead to service pause until settlement. Administrative or recovery costs may apply where legally permitted.
Refunds are governed by written service terms, applicable UAE consumer requirements, and the nature of services already delivered.
6. Records, Confidentiality, and Privacy
We maintain service records, progress notes, and communication logs for operational, safeguarding, and legal purposes.
Personal data is processed under our Privacy Policy and applicable UAE data protection requirements.
You must keep staff contact details, methods, and internal materials confidential and use them only for legitimate service communication.
7. Safeguarding and Conduct
Any abuse, intimidation, discrimination, harassment, unsafe behavior, or interference with professional service delivery is prohibited.
We may suspend or terminate services immediately where safeguarding concerns or serious misconduct arise.
You agree to cooperate with reasonable safeguarding procedures and lawful reporting obligations.
8. Intellectual Property
All service materials, plans, templates, reports, and website content remain our intellectual property unless expressly transferred in writing.
You may use provided materials for your child and household educational support only. Commercial reuse, reproduction, or redistribution is prohibited without written permission.
9. Limitation of Liability
To the maximum extent permitted by applicable law, we are not liable for indirect, consequential, special, or loss-of-opportunity damages.
Our aggregate liability for claims arising from services is limited to the amount paid by you for the affected services in the relevant claim period, except where limitation is prohibited by law.
Nothing in these terms excludes liability that cannot be lawfully excluded under UAE law.
10. Indemnity
You agree to indemnify and hold harmless Special Minds from losses, claims, and costs arising from inaccurate information, unauthorized instructions, unsafe home conditions, or breach of these terms, subject to applicable law.
11. Force Majeure
We are not responsible for service delay or interruption caused by events beyond reasonable control, including public health restrictions, severe weather, infrastructure failure, or government action.
Where practical, we may offer rescheduling or remote alternatives.
12. Termination
Either party may terminate services in accordance with agreed notice periods or plan terms.
We may terminate immediately for non-payment, safeguarding concerns, abusive conduct, repeated policy breaches, or legal compliance requirements.
Clauses on payment obligations, confidentiality, liability limitations, dispute resolution, and intellectual property survive termination.
13. Governing Law and Jurisdiction
These terms are governed by the laws of the United Arab Emirates and the applicable laws of the Emirate in which services are contracted, unless mandatory law provides otherwise.
Any dispute not resolved amicably will be submitted to the competent courts of the UAE, subject to mandatory jurisdiction rules.
14. Updates to These Terms
We may update these terms periodically. Updated terms apply from the published effective date and to future services.
Continued use of services after updates constitutes acceptance of revised terms.
